White-Label Licence Terms

One purchase grants one licence to one buying company (the “Licensee”), for that company to operate the licensed product under its own brand. The licence is granted to the named legal entity on the licence agreement and invoice. It is not granted to a group, a holding company, affiliates, subsidiaries or partners of the Licensee unless they are named explicitly in writing.

The licence covers the product version delivered at handover, the complete source code supplied with it, and the branding and configuration applied during setup.

The Licensee may:

• Use and operate the platform internally and commercially, under the Licensee’s own brand.
• Offer the platform as a service to the Licensee’s own customers, under the Licensee’s brand — including charging those customers for access.
• Modify, extend and maintain the source code, in the Licensee’s own repository, with the Licensee’s own team or contractors working on the Licensee’s behalf.
• Deploy and host the platform in infrastructure the Licensee owns and controls.

The Licensee may not, whether for payment or free of charge:

• Resell, sublicense, redistribute or re-white-label the product or the source code to any third party.
• Sell the source code on, in whole or in part, or offer it as a white-label or licensable product to others.
• Share, publish or transfer the source code, repository access, documentation or the prompt playbook to any party outside the Licensee’s organisation, other than contractors working on the Licensee’s own deployment under equivalent confidentiality obligations.
• Operate the platform on behalf of another company as that company’s own product.

Offering the running platform as a branded service to the Licensee’s customers is permitted (see section 02). Handing those customers the code, or letting them run their own instance of it, is not.

A second brand, company or legal entity requires a separate licence purchase. If the Licensee wants to run the platform for another entity in its group, or launch a second brand on it, contact us and we will quote the additional licence.

• The Licensee owns and controls their deployment, their infrastructure, their customer data and their copy of the repository.
• The Licensee owns any modifications and extensions their team writes on top of the delivered code.
• Underlying product intellectual property remains with Ecomsellertool, licensed to the Licensee under these terms.
• Ecomsellertool does not hold, process or retain the Licensee’s operational data after handover.

The licence is non-transferable without written consent. Where the Licensee is acquired, merged or restructured, contact us and we will normally consent to the licence moving to the acquiring entity, provided the terms above continue to apply and the licence still covers a single operating company.

Each licence includes:

• The complete source code transferred to the Licensee’s Git repository, with documentation, an architecture overview and a deployment runbook.
• Deployment into the Licensee’s own AWS or GCP account, including API credentials, domain, SSL, payment gateway and environment configuration.
• Branding and configuration applied across the application and its email templates.
• The AI-enablement programme: live training sessions, an AI-ready repository and a prompt playbook, so the Licensee’s team can operate, maintain and extend the platform independently.
• 30 days of hypercare following handover.

There is no subscription, retainer or maintenance contract. After the 30-day hypercare period, the Licensee maintains the platform — which is precisely what the AI-enablement training prepares their team to do.

Marketplace APIs change over time. Keeping the deployment current with those changes is the Licensee’s responsibility. If the Licensee would prefer us to carry out a specific piece of work, we quote it separately as its own project.

A one-time licence fee plus a setup fee, invoiced on signature of the licence agreement. There is no recurring charge. Custom modules requested on top of the licensed product are quoted and invoiced separately. Indicative price bands are published on the white-label page; the exact figure is confirmed on the demo call and depends on scope.

The licence is perpetual for the delivered version, subject to the restrictions above. Because the Licensee holds the source code and runs it on their own infrastructure, we cannot and do not switch the product off.

Breach of the resale, sublicensing or redistribution restrictions in section 03 terminates the licence and entitles Ecomsellertool to pursue remedies for that breach. The ownership, confidentiality and restriction clauses survive termination.
